Rights are not absolute and depend on the lawful basis and circumstances. We may request proportionate information to verify identity and authority. We do not charge a fee unless a request is manifestly unfounded or excessive and applicable law permits a reasonable fee.

Cookies are small text files stored on a device when a website is visited. Similar technologies include local storage, pixels, tags, software development kits and identifiers that store or access information on a device. These technologies can support security and core functions, remember settings, measure performance or support communications and marketing.
Under the UK Privacy and Electronic Communications Regulations and the Irish ePrivacy Regulations, storing or accessing information on a device generally requires clear information and consent unless the technology is strictly necessary to provide a service explicitly requested by the user or another exemption applies. We do not treat silence, continued browsing or pre-selected options as consent. Optional technologies remain disabled until the required consent is recorded. The Cookie Settings panel made available from the website footer forms part of this policy and provides the current operational list of cookies and similar technologies, including their name, provider, purpose, category and expiry or duration. Because website suppliers and configurations may change, that live list is the authoritative inventory. We will not categorise an analytics or marketing technology as strictly necessary merely to avoid seeking consent.
First-party cookies are set by Yellow Comply's domain. Third-party technologies are provided by another organisation, for example an identity, support, media, analytics or communications provider. A third party may act as our processor or, for some optional services, as a separate controller. The Cookie Settings panel identifies the provider and links to further information where appropriate.
Each cookie's duration appears in Cookie Settings. Session cookies normally expire when the browser session ends. Persistent cookies remain until their stated expiry or are deleted earlier. Consent records may be retained for as long as reasonably necessary to demonstrate and respect the choice, subject to periodic review.
Browser-based 'Do Not Track' signals are not applied consistently across the industry. Where a legally recognised consent or opt-out signal applies to our service, we will respond as required. The most reliable way to manage choices on our site is through Cookie Settings.

These Business Terms and Conditions ('Terms') form an agreement between Yellow Comply Ltd, company number NI732899, of Building 2, 30 Balliniska Road, Londonderry, Northern Ireland, BT48 0NA ('Yellow Comply'), and the organisation identified in an order form, proposal or online order that refers to these Terms ('Customer').
The person accepting an Order Form or using the Service for the Customer confirms that they have authority to bind the Customer. The agreement consists of the Order Form, these Terms, the Data Processing Agreement, any Service Level Schedule and any other document expressly incorporated by reference (together, the 'Agreement'). The Service is not offered under these Terms to consumers acting wholly or mainly outside their trade, business, craft or profession.
Authorised User: an employee, worker, contractor or other person whom the Customer authorises to use the Service under its account.
Customer Content: data, documents, records, images, configurations and other content submitted to or generated through the Service by or for the Customer.
Documentation: the user guidance and technical information Yellow Comply makes available for the Service.
Order Form: the ordering document or online order identifying the Customer, subscription, charges, Initial Term and any special terms.
Service: the hosted Yellow Comply compliance-management platform, modules, applications and related support identified in the Order Form.
Subscription Term: the Initial Term and any renewal period stated in the Order Form.
User Allowance: the permitted number or category of Authorised Users, sites, assets, modules, storage or other usage measure stated in the Order Form.
Subject to payment and compliance with the Agreement, Yellow Comply grants the Customer a limited, non-exclusive, non-transferable right during the Subscription Term to permit its Authorised Users to access and use the Service for the Customer's internal business operations. The Customer may allow contractors to use the Service on its behalf but remains responsible for them.
No rights are granted except those expressly stated. The Customer must not resell, sublicense, lease or provide the Service as a bureau service unless the Order Form expressly permits it.
The Customer is responsible for its use of the Service and for decisions, actions and omissions based on Customer Content or platform outputs. In particular, the Customer will:

Yellow Comply provides software for organising, recording, assigning, monitoring and evidencing compliance activities. It does not act as the Customer's employer, safety adviser, competent person, statutory inspector, auditor, legal adviser or regulator. Templates, reminders, dashboards, suggested actions and other content support the Customer's processes but do not guarantee compliance, prevent incidents or replace professional judgement, site-specific assessment, competent inspection or legal advice.
The Customer remains responsible for compliance with the laws, regulations, standards, contractual duties and safe systems applicable to its operations. A record in the Service is evidence of information entered or workflow completed; it is not independent verification that the underlying activity was adequate or lawful.
Yellow Comply will provide the support and any service levels stated in the Order Form or Service Level Schedule. We will use reasonable skill and care in providing the Service and aim to maintain availability, but uninterrupted or error-free operation is not guaranteed. Planned maintenance, emergency maintenance, internet or supplier failures, Customer systems and force majeure events may affect availability.
We may update the Service to improve security, performance, usability, legal alignment or functionality. We will not materially reduce the core overall functionality purchased during the then-current Subscription Term without reasonable notice, except where necessary to address security, legal or third-party dependency issues.
Each party will comply with applicable data protection law, including as relevant the UK GDPR, Data Protection Act 2018, EU GDPR and Irish Data Protection Act 2018, in each case as amended. For personal data in Customer Content, the Customer is normally controller and Yellow Comply is processor. The Data Processing Agreement incorporated into the Agreement governs that processing, including security, subprocessors, international transfers, assistance and deletion or return.
Each party acts as an independent controller for business contact and contract administration data it uses for its own purposes. The Customer will not instruct Yellow Comply to process personal data unlawfully.
Each party will keep the other party's non-public business, technical and commercial information confidential, use it only to perform or exercise rights under the Agreement, and disclose it only to personnel, advisers and suppliers who need it and are bound by confidentiality obligations. This does not cover information that is lawfully public, already known without restriction, independently developed or lawfully received from a third party. A party may disclose information where required by law, after giving advance notice where legally permitted.
Yellow Comply and its licensors own all intellectual property rights in the Service, Documentation, software, platform structure, generic templates and improvements. The Customer and its licensors own Customer Content. The Customer grants Yellow Comply a non-exclusive right during the Agreement to host, copy, transmit, display and otherwise process Customer Content only as needed to provide, secure, support and improve the Service in accordance with the Agreement.
Feedback may be used by Yellow Comply without restriction or payment provided it does not identify the Customer or disclose Customer Confidential Information. Yellow Comply may use anonymised and aggregated service information that does not identify the Customer or any individual to operate, secure, analyse and improve its services.
The Service may interoperate with third-party products selected or authorised by the Customer. Their use may be governed by separate terms and privacy notices. Yellow Comply is not responsible for third-party services outside its reasonable control, but remains responsible for its own processors as required by the Data Processing Agreement.
Yellow Comply may suspend affected access where reasonably necessary to protect security or service integrity, prevent unlawful or prohibited use, comply with law, respond to a material breach, or address overdue undisputed fees after reasonable notice. Where practicable, we will give advance notice, limit suspension to the affected part and restore access promptly when the reason is resolved.
The Agreement begins on the date stated in the Order Form and continues for the Subscription Term. Renewal and notice arrangements are those stated in the Order Form. If none are stated, the Agreement ends at the conclusion of the Initial Term and does not renew automatically.
Either party may terminate the Agreement by written notice if the other party materially breaches it and, where the breach can be remedied, fails to remedy it within 30 days after written notice. Either party may terminate immediately if the other enters insolvency or an analogous process, except where applicable law prevents termination on that basis.
Termination does not affect accrued rights. The Customer must pay charges due up to termination. Provisions intended by their nature to survive will continue, including confidentiality, intellectual property, payment, liability, dispute and data provisions.
During the Subscription Term the Customer may use available export functions. Following expiry or termination, and subject to payment of undisputed sums, Yellow Comply will make Customer Content available for export for the period stated in the Order Form or Data Processing Agreement. If no period is stated, the export window is 30 days. After that period, Yellow Comply may delete Customer Content from active systems, with residual copies expiring through the normal backup cycle, unless law requires retention. The Customer is responsible for completing exports before the window closes.
Each party warrants that it has authority to enter into the Agreement. Yellow Comply warrants that it will provide the Service with reasonable skill and care and that the Service will materially conform to its Documentation when used as authorised. If the Customer reports a reproducible material non-conformity, Yellow Comply will use reasonable efforts to correct it or provide a reasonable workaround. If it cannot do so within a reasonable time, the Customer may terminate the affected Service and receive a pro-rata refund of prepaid fees for the unused affected period.
Except as expressly stated and to the maximum extent permitted by law, implied warranties, conditions and terms are excluded, including as to merchantability, satisfactory quality, fitness for a particular purpose and non-infringement. Nothing excludes a term that cannot lawfully be excluded.
Nothing in the Agreement limits or excludes liability for death or personal injury caused by negligence; fraud or fraudulent misrepresentation; breach of confidentiality or data-protection obligations to the extent such liability cannot lawfully be limited; deliberate default; or any other liability that law does not permit to be limited or excluded.
Subject to the paragraph above, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, business, anticipated savings, goodwill or opportunity, whether direct or indirect. Yellow Comply is not liable for loss caused by inaccurate or unlawful Customer Content, Customer configuration, failure to act on information, use contrary to Documentation, unauthorised access caused by Customer-controlled credentials or systems, or third-party services selected by the Customer.
Subject to the exclusions above, each party's total aggregate liability arising out of or in connection with the Agreement in any rolling 12-month period will not exceed the fees paid or payable for the affected Service during that 12-month period. Liability arising from breach of confidentiality, infringement of the other party's intellectual property rights, or a party's data-protection breach is capped at twice that amount. These caps do not apply to the Customer's obligation to pay fees or to liability that cannot lawfully be capped.
The Customer will indemnify Yellow Comply against third-party claims, regulatory costs and reasonable professional expenses arising from Customer Content or the Customer's use of the Service infringing third-party rights or breaching law, except to the extent caused by Yellow Comply's breach of the Agreement. Yellow Comply will notify the Customer promptly, allow reasonable control of the defence and settlement, and provide reasonable cooperation at the Customer's cost. The Customer may not settle a claim in a way that admits liability by Yellow Comply or imposes obligations on it without consent.
Neither party is liable for delay or failure caused by events beyond its reasonable control, excluding payment obligations. The affected party will take reasonable steps to mitigate the effect and resume performance. If material disruption continues for more than 60 days, either party may terminate the affected Service on written notice.
We may update these Terms for future orders or renewals. We may also make changes during a Subscription Term where reasonably required by law, security or technical necessity, provided the change does not materially reduce the Customer's contractual rights without an appropriate remedy. Material changes will be notified in advance where practicable. Other negotiated changes must be agreed in writing by authorised representatives.
Legal notices must be in writing and delivered by hand, prepaid post or email to the contact stated in the Order Form, or to an updated address notified in writing. Notices to Yellow Comply may be sent to the registered office and to sales@yellowcomply.com with the subject 'Legal Notice'. A notice is treated as received according to applicable law and ordinary delivery records; email is not effective if the sender receives a delivery failure message.
The Agreement and any non-contractual obligations arising from it are governed by the laws of Northern Ireland. The courts of Northern Ireland have exclusive jurisdiction, except that either party may seek urgent protective or injunctive relief in any competent court. Where the Customer is established in Ireland or another jurisdiction, this clause does not disapply mandatory laws that cannot lawfully be excluded by a business-to-business choice of law.
